AUC Completes Strategic Acquisition to Expand Its Gold Digital Asset Business

ATIF Holdings Limited (Nasdaq: AUC), referred to here as AUC, announced on September 10, 2026 that it had completed the acquisition of GoldCoin Labs Limited. The acquisition marks an important milestone in AUC’s expansion into gold-related digital assets, establishing a new foundation for its participation in real-world asset tokenization and broader business diversification.

With the acquisition completed, GoldCoin Labs has become a wholly owned subsidiary of AUC, bringing its gold tokenization platform and related infrastructure under development into the company’s business portfolio. This extends AUC’s digital asset strategy by connecting its capital markets and corporate advisory experience with product development focused on the digitization of physical gold.

GoldCoin Labs is developing issuance and supporting infrastructure for Metra Gold (GOLDM), exploring ways to connect physical gold with blockchain technology. Its contemplated business model includes token issuance and redemption, third-party gold custody, reserve verification, and blockchain-based transfer and settlement. These activities offer a starting point for AUC to pursue product development and commercial collaboration in gold-related digital assets.

AUC’s board believes the acquisition complements the company’s existing digital asset strategy and could broaden its potential revenue sources. By incorporating gold tokenization activities into its listed-company platform, AUC aims to explore additional digital finance opportunities linked to physical assets and further diversify its business.

The completed acquisition opens a new phase in AUC’s gold digital asset strategy.
